ElevateWorks does not guarantee that documents prepared by us will be accepted, approved, or deemed sufficient by any third party, government agency, court, financial institution, or other organization. The suitability of any document for a particular purpose is your responsibility to verify, ideally with the assistance of a qualified professional.

We reserve the right to decline any service request that we determine to be outside our scope of services, potentially illegal, unethical, or otherwise inappropriate. We may also decline requests that we are unable to complete to our quality standards within a reasonable timeframe.

7. Intellectual Property

All content on our Website, including text, graphics, logos, images, and software, is the property of ElevateWorks and is protected by applicable intellectual property laws. You receive a license to use the completed documents for their intended purpose but not to resell or distribute our proprietary templates or systems.

8. Payment Terms

Payment for services is due as agreed upon during the consultation phase. We will provide a clear quote before commencing any work. Unless otherwise agreed in writing, payment is required prior to or upon delivery of completed documents. We accept payment through methods communicated during the service engagement.

Prices are subject to change without notice, but any change in pricing will not affect services already quoted and agreed upon. Rush service fees may apply for expedited requests. All fees are in U.S. dollars.

Failure to remit payment in a timely manner may result in suspension of services. ElevateWorks reserves the right to pursue collection of unpaid balances through appropriate legal means, and you agree to pay all reasonable collection costs including attorney's fees.

9. Confidentiality

ElevateWorks recognizes that clients often share sensitive personal and business information in the course of receiving our services. We are committed to maintaining the confidentiality of all client information. We will not disclose, share, sell, or otherwise disseminate your confidential information to any third party except as required by law or as expressly authorized by you in writing.

This confidentiality obligation extends to all documents, data, business information, personal information, and communications shared with us in connection with our services. Our confidentiality obligations survive the termination of any service agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELEVATE WORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

In no event shall ElevateWorks' total liability to you for all claims arising out of or relating to our services exceed the total amount paid by you to ElevateWorks in the three (3) months preceding the event giving rise to the claim.

ElevateWorks is not liable for errors or omissions in documents resulting from inaccurate or incomplete information provided by the client, changes in laws or regulations, rejection of documents by third parties, or any consequences arising from the use of prepared documents.

11. Indemnification

You agree to indemnify, defend, and hold harmless ElevateWorks, its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to: (a) your use of our services; (b) your violation of these Terms; (c) your provision of inaccurate or fraudulent information; (d) your violation of any applicable law or regulation; or (e) any third-party claims arising from documents prepared based on your instructions.

13. Termination

Either party may terminate a service engagement at any time with written notice. ElevateWorks reserves the right to terminate services immediately and without notice if a client violates these Terms, engages in fraudulent or illegal activity, or behaves in a manner that is abusive, threatening, or otherwise inappropriate toward our staff.

Upon termination, payment for all work completed up to the termination date is due. Refunds for work already completed are governed by our Refund Policy. Termination does not affect any rights or obligations that accrued prior to termination.

14. Force Majeure

ElevateWorks shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, government actions, power outages, internet service disruptions, or other force majeure events. We will make reasonable efforts to notify you of any such circumstances and resume services as soon as practicable.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. 16. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails, the parties agree to submit the dispute to non-binding mediation before a mutually agreed-upon mediator in Columbus, Georgia, before pursuing any other legal remedy.

Any claims must be brought within one (1) year of the date the claim arose, or such claim shall be permanently barred. You agree to waive any right to participate in class action lawsuits or class-wide arbitration against ElevateWorks.

17. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.
